Terms of Service

1. About Tentwise

Tentwise LLC ("Tentwise," "we," "us") is a Wyoming limited liability company providing mobile application development, user acquisition, and backend consulting services to business clients. These Terms of Service ("Terms") govern your use of tentwisellc.com (the "Site") and describe the general terms on which we offer services.

2. How engagements are formed

Services are provided under a Master Services Agreement ("MSA") and individual Statements of Work ("SOW") signed by both parties. If anything on this Site conflicts with a signed MSA or SOW, the signed documents control.

3. Client responsibilities

You agree to provide the materials, access, and decisions reasonably needed for the work; to hold the necessary rights to any content you provide; and to comply with the policies of the app stores and advertising platforms on which your product is distributed or promoted.

4. Services and results

We perform services in a professional and workmanlike manner. Unless expressly agreed in a signed SOW, we do not guarantee specific outcomes, including install volumes, store rankings, or revenue.

5. Fees and payment

Service fees and advertising budgets are quoted and invoiced separately. Payment terms, schedules, and currencies are set in the applicable SOW or invoice.

6. Third-party platforms

App stores, advertising networks, and other third-party platforms are outside our control. We are not responsible for their decisions, including review outcomes, policy changes, account actions, or service interruptions.

7. Intellectual property

Rights to the deliverables specified in a SOW transfer to you as set out in that SOW, typically upon full payment. Tentwise retains ownership of its pre-existing materials, internal tools, and general know-how, and grants you the license needed to use the deliverables.

8. Confidentiality

Each party will protect the other party's confidential information and use it only for the engagement. We are ready to sign a non-disclosure agreement before scoping begins.

9. Personal data

Our handling of personal data submitted through the Site is described in the Privacy Policy. Data processing within an engagement is governed by the MSA and applicable law.

10. Disclaimer of warranties

The Site and its content are provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of liability

To the maximum extent permitted by law, the aggregate liability of Tentwise arising out of or related to the Site or any engagement is limited to the fees actually received by Tentwise for the services giving rise to the claim during the period to which the claim relates. Tentwise is not liable for indirect, incidental, consequential, or punitive damages, or for lost profits or revenue.

12. Indemnification

You agree to indemnify Tentwise against third-party claims arising from content or materials you provide, or from your breach of these Terms, to the extent permitted by law.

13. Term and termination

Engagement terms and termination rights are set in the MSA and SOW. Provisions that by their nature should survive termination — including confidentiality, intellectual property, limitation of liability, and payment obligations — survive.

14. Governing law

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-law rules.

15. Dispute resolution

Any dispute arising out of or relating to these Terms or the Site that cannot be resolved by good-faith negotiation will be settled by binding arbitration in Casper, Wyoming, on an individual basis. Either party may seek injunctive relief in a court of competent jurisdiction for misuse of intellectual property or confidential information.

16. Changes to these Terms

We may update these Terms from time to time. The effective date above shows when they were last revised. Continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
